IndiVillage Terms and Conditions of Use

Governing Entity: IndiVillage Accounting and Business Services LLC (“IndiVillage,” “we,” “our,” or “us”)
Applies To: All clients accessing our website, digital platforms, or engaging our services
1. Purpose and Acceptance
This Terms of Service (“Terms”) governs all services, content, and technology provided by IndiVillage. By using our site or contracting our services, you agree to be bound by these Terms and any referenced agreements (e.g., engagement letters, NDAs).
2. Scope of Services
IndiVillage offers consulting, accounting, and executive-level advisory services as outlined in individualized proposals or engagement letters. Service descriptions on our website are informational only.
Deliverables, access levels, and timelines are defined in writing per client engagement. Any services outside of these are considered Out-of-Scope and require separate approval or documentation.
3. Client Responsibilities
Clients agree to:
Provide timely, complete, and accurate information required for service execution
Maintain access to the secure client portal and safeguard login credentials
Respond promptly to documentation requests, approvals, or follow-ups
Review outputs and reports for accuracy in a timely manner
Delays caused by the client may impact deliverables, deadlines, or pricing.
4. Use of Technology & AI Tools
IndiVillage may use licensed third-party tools, AI-enabled software, and automation platforms to provide services. Unless otherwise agreed, we retain discretion over tool selection. All tools meet professional data security standards and are subject to nondisclosure protections.
5. Data Security & Confidentiality
Both parties agree to maintain the confidentiality of all nonpublic, proprietary, or sensitive information. We utilize encrypted cloud infrastructure and access controls, but no system is entirely immune from breach. By engaging us, you acknowledge and accept this inherent risk.
6. Client Portal Access
You will receive access to our digital portal for secure exchange of files and messages. Portal content is retained according to our data retention policy. IndiVillage is not liable for data lost due to client-side deletion, expired access, or third-party outages.
7. Payment & Invoicing
All payment terms, due dates, and accepted methods are defined in the engagement letter or invoice. Unless otherwise agreed:
Payments are due upon receipt
Late payments may incur interest and lead to service suspension
Additional work requires written agreement before commencement
8. Refunds & Service Guarantee
Where explicitly stated in the engagement letter, you may be entitled to a refund of your most recent monthly payment if dissatisfied. Refunds do not apply retroactively or after the service has been materially delivered.
9. Disclaimers
We are not a registered investment advisor, financial planner, broker, or legal representative. All deliverables, forecasts, and recommendations are informational in nature. Clients should seek independent verification before acting on our insights.
10. Limitation of Liability
IndiVillage shall not be liable for:
Indirect, incidental, or consequential damages
Lost profits, goodwill, or opportunities
Errors resulting from client-provided data
Maximum liability is limited to fees paid in the 90 days preceding the incident.
11. Force Majeure
We are not liable for failure or delay resulting from acts of God, cyberattacks, third-party platform failures, utility outages, labor strikes, or any events beyond reasonable control.
12. Modifications
We may update these Terms at any time. Continued use of our site or services after notice constitutes acceptance of the revised terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas. Unless otherwise agreed, any disputes shall be resolved through binding arbitration or in courts located in Collin County, Texas.
